Official Sweepstakes Rules

1. ELIGIBILITY.  SQUIRE Research Giveaway (the “Sweepstake”) is open only to legal residents of the 50 United States (or the District of Columbia) who are 18 years of age or older, and who submit an entry at https://forms.gle/eTiUGQX7R9xK3eNb6 . SQUIRE will use your email address and other information you provide for eligibility and notification purposes, so be sure your entry is accurate. Employees and non-employee workers of SQUIRE and its affiliates are not eligible to enter or to win any prize in Sweepstakes. SQUIRE, its subsidiaries, affiliates, shareholders, directors, officers, agents, representatives and employees (collectively, the “SQUIRE Parties”) will have no liability or responsibility for any claim arising in connection with the participation in the sweepstakes or the prize awarded.

3. AGREEMENT TO OFFICIAL SWEEPSTAKES RULES:  By entering and participating in the Sweepstakes, entrant fully and unconditionally agrees to and accepts all of these Official Sweepstakes Rules and the decisions of SQUIRE which are final and binding in all matters related to the Sweepstakes.

4. ENTRY PERIOD:  The Sweepstakes begins at 12:00 am Eastern Time (“ET”), on July 28th, 2025  and ends at 11:59PM ET, August 10, 2025 (the "Entry Period"). SQUIRE’s designated computer is the official time-keeping device for the Sweepstakes. Entries submitted before or after the Entry Period will not be eligible.

5. HOW TO ENTER:  During the Entry Period, visit https://forms.gle/eTiUGQX7R9xK3eNb6  and follow the  instructions to submit an entry. The entry must fulfill all requirements of the Sweepstakes, as specified, to be eligible to win a prize. Entries that are incomplete or do not adhere to the rules or specifications of the Sweepstakes may be disqualified at the sole discretion of the Sponsor. Any attempt by any entrant to obtain more than one entry by using multiple/different email addresses, identities, or any other methods will void that entrant’s entry and that entrant may be disqualified.  Any use of robotic, repetitive, automatic, programmed or similar entry methods or agents (including, but not limited to, promotion entry services) will void all plays by that entrant. In the event of a dispute as to any entry, the authorized account holder of the email address associated with the  entry used to apply will be deemed the entrant.  The “authorized account holder” is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. Each potential winner may be required to show proof of being an authorized account holder.

6. ALL POTENTIAL WINNING ENTRIES ARE SUBJECT TO VERIFICATION BY SQUIRE, WHOSE DECISIONS ARE FINAL AN ENTRANT IS NOT A WINNER OF ANY PRIZE, EVEN IF ENTRANT RECEIVES AN EMAIL MESSAGE SAYING HE OR SHE WON UNLESS AND UNTIL ENTRANT’S ELIGIBILITY AND THE POTENTIAL WINNING ENTRY HAVE BEEN VERIFIED AND ENTRANT HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE.  ANY ENTRY THAT OCCURS AFTER THE SYSTEM HAS FAILED FOR ANY REASON IS DEEMED A DEFECTIVE ENTRY,, IS VOID AND WILL NOT BE HONORED.

7. SWEEPSTAKES PRIZE SELECTION AND VERIFICATION OF POTENTIAL WINNER:  Potential winner must comply with all terms and conditions of these Official Sweepstake Rules.  Winning is contingent upon fulfilling all requirements.  SQUIRE is responsible for all decisions as to the administration and operation of the Sweepstake and the selection of the winner is final and binding.  

The potential winner will be selected by random draw under the supervision of the Sponsor. The potential winner will be notified within 7 days of the potential winner selection. Each potential winner of a prize will be required to sign and return to SQUIRE, within 5 calendar days of the date of notice or attempted notice is sent, a Waiver of Liability and Publicity Release (except where prohibited by law) in order to claim their prize and to fulfill any such other requirements as determined by SQUIRE.  If a potential winner fails to provide the Waiver of Liability and Publicity Release within 5 calendar days of the date of notice or attempted notice, they may be disqualified and forfeit the prize. If a potential winner cannot be contacted, they forfeit the prize.  If a potential winner fails to follow the instructions, rules and conditions on how to claim the prize, they forfeit the prize. If a potential winner forfeits the prize or is disqualified for any reason, SQUIRE may, in its sole discretion, select an alternate winner from among all remaining eligible applications.   If the alternate potential winners are disqualified, the applicable prize will not be awarded. A potential winner does not become a “winner” until they have successfully claimed the prize.

8. PRIZE:  
   
   1. One of five $100 gift cards
   2. For All Prizes: No substitution, exchange or transfer of prize by any winner. SQUIRE reserves the right to substitute any prize for one of equal or greater value.  The number of prizes available to be won will diminish as they are awarded.  Each winner is responsible for all taxes and fees associated with prize receipt and/or use.  Limit 1 prize per person.  Total ARV of all prizes: $500.00

9. ODDS OF WINNING: The odds of winning depend on the number of eligible entries received.

10. HOW TO CLAIM A PRIZE:  At the time of notification, each potential winner will receive instructions on how to claim the prize.

11. PUBLICITY:  Except where prohibited, participation in the Sweepstakes constitutes entrants consent for SQUIRE and its designees to use entrant’s name, prize information, likeness, logo, city and state of residence, video, voice and any other comments or other feedback related to the Sweepstakes or participation in the prize experience for promotional purposes in any media without further consideration.

12. GENERAL CONDITIONS RELATING TO SWEEPSTAKES:  In the event that the operation,or administration of the Sweepstakes is impaired in any way for any reason, including, but, not limited to, fraud, outbreak of widespread illness, pandemic, civil unrest, or other similar occurrence, technical failures, regularly-scheduled maintenance, virus or other technical problem, SQUIRE may, in its sole discretion, either: (a) suspend the Sweepstakes to address the impairment, then resume the Sweepstakes; or (b) cancel the Sweepstakes. The Sponsor reserves the right in its sole discretion to disqualify any entrant it finds to be tampering with the entry process or the operation of the Sweepstakes or to be acting in violation of the Official Sweepstakes Rules of this or any other promotion, or in an unsportsmanlike or disruptive manner. Any attempt by any person to undermine or damage the legitimate operation of the Sweepstakes may be a violation of criminal and civil law, and, should such an attempt be made, SQUIRE reserves the right to seek damages from any such person to the fullest extent permitted by law. SQUIRE's failure to enforce any term of these Official Sweepstakes Rules shall not constitute a waiver of that provision.  The Sweepstakes is in no way sponsored, endorsed, administered by, or associated with Facebook, X, Instagram, Snapchat, YouTube, Reddit, Pinterest, LinkedIn or any other social networks that are used to share the Sweepstakes. You understand that you are providing your information to the owner of the Sweepstakes and not to Facebook, X, Instagram, Snapchat, YouTube, Reddit, Pinterest, LinkedIn or any other social networks.

13. LIABILITY RELEASE: Except where prohibited, entrants agree to release and hold harmless the SQUIRE  from and against any claim or cause of action arising out of participation in the Sweepstakes or receipt or use of or participation of any prize, including but not limited to (a) death, or injury or damage to persons or property which may be caused directly or indirectly in whole or in part from entrant’s participation in the Sweepstakes or receipt or use of or participation in any prize; (b) technical errors; (c) unauthorized human or cyber attack intervention in the administration of the Sweepstakes. In no event shall the Released Parties be liable or any of your attorney’s fees.  Entrant waives the right to claim any damages, whatsoever, for punitive, consequential, direct, or indirect damages.

14. DISPUTES: Entrant agrees that (a) any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes or any prizes awarded shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the Southern District of New York or the appropriate New York State Court located in Manhattan, New York; and (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Sweepstakes but in no event attorneys' fees. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Sweepstakes Rules, or the rights and obligations of the entrant and SQUIRE in connection with the Official Sweepstakes Rules, shall be governed by, and construed in accordance with, the laws of the State of New York, without giving effect to any choice of law or conflict of law rules (whether of the State of New York or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of New York.
